Venture Capital Funds — FAQs
What is venture capital?
Venture capital (VC) is investment in early-stage, high-growth companies — typically technology or innovation businesses — in exchange for equity. In New Zealand, wholesale VC funds pool investor money and back a portfolio of startups over a fixed fund term, aiming for returns from a small number of companies that grow substantially or are acquired. It is long-term, illiquid and higher-risk than most asset classes.
Are New Zealand venture capital funds only for wholesale investors?
Most of the funds listed here are open to wholesale (also called eligible or sophisticated) investors only, under the exclusions in Schedule 1 of the Financial Markets Conduct Act 2013. You generally need to meet a wholesale-investor test before you can invest.
How is venture capital different from private equity?
Venture capital backs young, high-growth companies (often pre-profit) and expects most returns from a few big winners. Private equity typically buys established, profitable businesses, often using debt, and aims to improve them before sale. VC portfolios are earlier-stage and higher-variance; PE is later-stage and more cash-generative.
Can venture capital funds count towards the Active Investor Plus (AIP) visa?
Many NZ venture capital funds are structured to qualify as an acceptable managed fund for the Active Investor Plus visa Growth category. Funds flagged “AIP eligible” on this page have indicated that status to Wholesale Investor; always confirm current eligibility against the official NZTE Acceptable Managed Funds list before relying on it.
How risky and illiquid is venture capital?
Venture capital is among the highest-risk, least-liquid asset classes. Individual companies can fail entirely, capital is typically locked up for the fund’s term (often 7–10 years), and returns depend on a small number of successful exits. Your capital is at risk and returns are not guaranteed. Read each fund’s Information Memorandum and consider financial advice before investing.
