Wholesale Investor Criteria

Select all criteria that apply to you. You only need to meet ONE of these criteria to qualify as a wholesale investor.

Net Assets Exceeding $5 Million

Individual or entity with net assets (assets minus liabilities) exceeding $5 million

Investment Experience + $750k

Investing at least $750,000 and have experience in acquiring or disposing of financial products (such as managed funds, syndicated investments, or private equity)

Large Entity

Entity with net assets exceeding $5 million or gross assets exceeding $10 million

Eligible Investor

An investor who has been certified by a financial adviser, qualified statutory accountant, or lawyer as having sufficient knowledge and experience to assess the merits and risks of the investment. See Schedule 1, Clause 3 of the Financial Markets Conduct Regulations 2014 for full requirements. Certification is typically valid for 2 years.

What You Should Know

Reduced Protections

You lose the regulatory protections available to retail investors. Issuers are not required to provide a Product Disclosure Statement (PDS) or comply with fair dealing obligations.

Limited Recourse

If things go wrong, your options for complaint or compensation may be more limited than for retail investors. You are assumed to understand and accept the risks.

Less Ongoing Reporting

Issuers may not be required to provide ongoing performance updates or regular reporting that retail investors would normally receive.
