1. What this site covers
Wholesale Investor NZ is an independent directory of New Zealand wholesale and accredited investment opportunities — private credit, venture capital, private equity, property, forestry, agriculture, infrastructure, and multi-asset funds. Fund and provider data is compiled from the New Zealand Financial Markets Authority (FMA) Disclose Register, the Financial Service Providers Register (FSPR), the New Zealand Business Number (NZBN) register, the New Zealand Trade & Enterprise (NZTE) Acceptable Managed Funds list (for Active Investor Plus visa context), and each manager's own Information Memorandum (IM), Product Disclosure Statement (PDS), Statement of Investment Policy and Objectives (SIPO), fact sheets, and public website.
2. Confidence tiers
Each cited fact carries one of four confidence tiers. Tier dots are surfaced inline next to numeric and boolean attributes on fund and provider pages.
- A — Regulator source. The fact is taken directly from a government register or statute: FMA Disclose Register (disclose-register.companiesoffice.govt.nz), FSPR (fsp-register.companiesoffice.govt.nz), NZBN (nzbn.govt.nz), NZTE (nzte.govt.nz), Companies Office (companies-register.companiesoffice.govt.nz), Inland Revenue (ird.govt.nz), Retirement Commission (retirement.govt.nz), or the New Zealand Legislation portal (legislation.govt.nz).
- B — Issuer source. The fact is taken from a manager-published document — IM, PDS, SIPO, fact sheet, annual report, or the manager's own website.
- C — Secondary aggregator. The fact is taken from a third-party compilation (industry body listing, public press release).
- D — Inferred. The fact is derived from default rules or classification (e.g. NZTE Growth Category default when the published list does not specify Balanced-only).
3. Citations pattern
Every hand-curated numeric or boolean attribute on a fund or provider page is backed by a structured citation record with the following fields:

The full corpus of citation records is published at /sources. Machine-readable per-fund citations are exposed at /api/fund/[slug]/facts.json and per-provider citations at /api/provider/[slug]/facts.json.
4. Wholesale-investor self-certification posture
Some investment opportunities listed on this site are offered under the wholesale exemption to the Financial Markets Conduct Act 2013 (FMCA s23 / Schedule 1). Visitors must self-certify wholesale-investor eligibility before viewing certain documents and unlocked content. When a visitor clicks through the certification gate, this site records the self-certification at the moment of click-through. Wholesale Investor NZ does not verify the certification — that is the visitor's and the issuing manager's responsibility. Issuers may, and typically do, require their own evidence of eligibility before accepting subscriptions. See the qualification overview and the full disclaimer.
5. Pre-build audit gates
Three audit scripts run as part of prebuild on every Netlify deploy. A failure on any one blocks the build.
lint:fmca(scripts/check-fmca-language.js) — catches language-shape violations: absolute outcome claims, promotion of unverified rankings, terminology that misrepresents FMA licensing, and the provider blocklist of entities removed at provider request.audit:facts(scripts/audit-fabricated-claims.cjs) — catches hardcoded numeric claims (target returns, AUM, minimums) not anchored to a citation, fabricated ratings, future-dated content, and testimonial-shaped strings. A regression gate (audit:facts:gate) compares total hits against a frozen baseline.guard:llm(scripts/guard-buildtime-llm-calls.cjs) — rejects any LLM SDK import insidesrc/unless the line above carries a// llm-cached:sentinel. Build-time LLM calls must be pre-computed into a cache file on disk.
6. What this site does not do
- No aggregate ratings. No star ratings. No fabricated user-review counts.
- No testimonials. No named reviewer-of-record on fund or provider pages.
- No displaced author bylines on the editorial guides.
- No rankings on loose data — no superlative ordering of funds or providers. Comparison pages surface verbatim source language from each manager's IM or PDS without ranking.
- No vetting, verification, or endorsement of listed providers, funds, or offers. Listing is a directory function — directory listings are an FMCA Schedule 1 safe-harbour activity.
7. Editorial firewall
Sponsored placement is disclosed via the is_featured flag on the relevant provider or fund row, and surfaces as a visible "Featured" badge with sort priority on the listing pages. Featured placement is paid placement only and does not imply vetting, verification, or endorsement. Editorial copy — comparison articles, asset-class guides, glossary entries, and blog posts — is never edited for money. See About for commercial structure.
