A managed fund is a vehicle where investor capital is pooled and managed by a professional fund manager under a Managed Investment Scheme (MIS). In New Zealand, MIS schemes fall into two regulatory categories: retail (offered under a registered Product Disclosure Statement) and wholesale-only (offered under Schedule 1 of the Financial Markets Conduct Act 2013).

What makes a managed fund "wholesale"?

Under the Financial Markets Conduct Act 2013, an offer is wholesale (not subject to retail disclosure rules) if every investor meets one of the Schedule 1 categories — wholesale, large, government, investment-business or eligible-investor tests. Wholesale-class managed funds:

  • Are offered under an Information Memorandum (IM) rather than a registered PDS.
  • Have higher minimum investments — commonly $50,000 to $100,000+, sometimes lower with eligible-investor certification.
  • Typically charge lower management fees than the equivalent retail class — no retail PDS, supervisor or fund-update overhead.
  • May not have an independent retail supervisor; governance is via the fund's trust deed or LP agreement.
  • Have narrower access to FMA-approved dispute resolution schemes than retail investors.
