What is Sophisticated Investor?
A non-statutory term sometimes used to describe investors who can demonstrate investment experience comparable to the FMCA Schedule 1 eligible-investor pathway.
"Sophisticated investor" is a term borrowed from overseas regulatory regimes (the US Regulation D accredited-investor framework, Australia's wholesale-client rules under the Corporations Act 2001 s761G/761GA) and used informally in New Zealand to describe investors with substantive investment experience.
It has no formal NZ statutory definition. In the NZ context, the closest statutory analogue is the "eligible investor" pathway in Clauses 38-40 of Schedule 1 of the Financial Markets Conduct Act 2013, which requires self-certification of "previous experience in acquiring or disposing of financial products that allows the investor to assess" the offer, confirmed by a qualified statutory accountant, lawyer, or financial adviser.
After the September 2025 *FMA v Du Val Group* High Court ruling, the eligible-investor certificate process became materially more rigorous — confirmers must make their own enquiry rather than rubber-stamp the investor's self-assessment, and the experience claimed must be product-specific (listed-equity experience does not transfer to private credit or VC). Marketing usage caution: managers describing an offer as available to "sophisticated investors" without grounding the offer in one of the seven Schedule 1 pathways may be exposed to FMCA Part 2 fair-dealing claims if the framing implies a lower bar than actually applies.
